End User License Agreement

This End User License Agreement (this "EULA") is a legally binding agreement between you (the "User") and Record System, Inc., the owner of the RECORD app (the "App"). By installing or using the App, you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA. If you do not agree with any of the terms herein, do not download, install, or use the App.

Effective Date

This EULA becomes effective on the date you download or use the App, whether or not you install the software.

Grant of License

Subject to the terms of this EULA, RECORD grants the User a non-exclusive, non-sublicensable, non-transferable license to use the App during the Term on up to two (2) devices that the User personally owns or that are owned by the User's employer and assigned for the User's use. The User is prohibited from sharing any license keys with anyone else without express written permission from RECORD.

Intended Use and Restrictions

The User agrees to use the App solely for its intended purposes and agrees not to use the App for any unlawful activity or engage in reverse engineering of any App software.

The User must ensure compliance with all laws in the User's jurisdiction applicable to the User's use of the App. In particular, the User is responsible for ensuring that uploaded content does not infringe the intellectual property rights of any third party.

The App is not intended for processing conﬁdential or personal data; the User bears all risks related to data privacy and security. The User is solely responsible for the accuracy of third-party content or other input into the App.

Intellectual Property Rights

The User acknowledges and agrees that the App and related software and documentation are provided under license, and not sold, to the User. The User does not acquire any ownership interest in the App, or any other rights thereto, other than to use the same in accordance with the license granted and subject to all terms, conditions, and restrictions under this EULA. RECORD reserves and shall retain its entire right, title, and interest in and to the App and all intellectual property rights arising out of or relating to the App, except as expressly granted to the User in this EULA. The User shall use commercially reasonable efforts to safeguard the App (including all copies thereof) from infringement, misappropriation, theft, misuse, or unauthorized access. The User shall promptly notify RECORD if the User becomes aware of any infringement of RECORD's intellectual property rights in the App and fully cooperate with RECORD in any legal action taken by RECORD to enforce its intellectual property rights.

Termination

RECORD reserves the right to revoke this license if it deems that the User has violated any terms of this EULA. Upon termination, the User must immediately uninstall all copies of the App and cease using it.

Warranty Disclaimer

The App is provided "as is" without any warranties, whether express or implied, including any implied warranty of merchantability or fitness for a particular purpose. RECORD does not warrant that the App will perform without error or that it will run without interruption.

The App may use artiﬁcial intelligence ("AI") to generate output. Like any product that uses AI to produce results, the App is prone to making errors. We do not guarantee that any output provided by the App is correct, complete, or current. In using the App, you agree not to hold RECORD liable for any loss or damage arising from any person's use of, or reliance on, App output or on your adaptation or transformation of that output. All output should be reviewed prior to use in order to verify its accuracy and suitability for your intended use.

Neither RECORD nor any of its subsidiaries is responsible for your input, for any App output, or for your communications based in whole or in part on that output, including, but not limited to, any offensive, inappropriate, or otherwise harmful content that the App might generate. We reserve the right to modify the App or any of its features at any time.

No Legal Advice

The User acknowledges and agrees that the User:

shall not rely on any part of the App or its suggestions and outputs as legal advice, and
shall not communicate or claim, to any third party or other person, that any part of the App or its suggestions and outputs are legal advice.

The App may generate suggested text based on user input, but it does not provide legal advice in any way, nor does it create an attorney-client relationship. The User should always consult a qualified attorney for personalized legal advice tailored to their specific circumstances, as the App's output may not align with the User's particular needs or with evolving laws.

Governing Law

This EULA is governed by the laws of the State of Nevada, without regard to its conflict of law principles.

Agreement to Privacy Policy and Terms of Service

By agreeing to this End User License Agreement, you also agree to be bound by our Privacy Policy and Terms of Service. These documents are incorporated by reference into this EULA. Please review these documents carefully, as they contain important information about your rights and obligations as a user of the App.
